All Florida Firm sends out advertisements for corporations to sign up for one or more of three services it offers: 1) appointment of a registered agent; 2) preparing an annual report; and 3) preparing a workers' compensation officer exemption. The mailer refers businesses to a web site where they can sign up. This office is involved in three lawsuits with this company. All Florida Firm filed a lawsuit in Volusia County objection to our pre-lawsuit subpoena, this office filed a lawsuit against them in Leon County for violations of Florida's Unfair and Deceptive Trade Practices Act, and finally, they sued this office again in Volusia County on a motion for a Declaratory Statement. Motions to resolve the pending Volusia County cases are scheduled for March. Hidden deep in the fine print in All Florida Firm's offer is a notice that this is a negative option plan that can only be stopped by sending a notice by certified mail and by phone, fax and/or email of your intention to terminate this service and you must file the appropriate forms to change the registered agent with the Division of Corporations prior to January 5th of that given year. Second, this company has access to the business's credit card, and can automatically charge that account the following year, regardless of whether the business wants to continue the service. Third, the fees charged mirror the fees charged by the State offices for the services rendered, leading many people to believe that they are paying the state these fees. Fourth, the web site is set up so that businesses that intend to purchase one service are automatically led into purchasing another service.
